Please read these Terms carefully before using our Services.
1. Acceptance of Terms
By accessing or using our website, platform, online services, or any associated products (collectively, the "Services") available at www.perealtors.com, you acknowledge and agree to be bound by these Terms and Conditions ("Terms"). If you do not accept these Terms in their entirety, you must immediately refrain from accessing or using the Services.
These Terms constitute a legally binding agreement between you ("User" or "Customer") and PETECHTREAI India Private Limited, along with its product vertical PE-Realtors (collectively, the "Company", "we", "us", or "our"). By continuing to use the Services following any revision to these Terms, you are deemed to have accepted and consented to the updated Terms.
2. Description of Services
PE-Realtors is a technology-enabled real estate services platform that offers end-to-end facilitation across buying, selling, leasing, and documentation of residential and commercial properties. The Services include, but are not limited to:
Property search, discovery, and listing services via www.perealtors.com
AI-assisted property sourcing, evaluation, and shortlisting tools
Customer (buyer/tenant) sourcing and lead facilitation services for property owners
Documentation, legal, and due-diligence support in collaboration with qualified professionals
Subscription-based access to platform features, analytics dashboards, and advisory tools
Communication, scheduling, and collaboration tools for real estate transactions
Professional consulting, support, and post-transaction services (where separately engaged)
The Company reserves the right to modify, add, suspend, or discontinue any aspect of the Services at any time. Where material changes are planned, reasonable prior notice will be provided to active users.
3. User Accounts and Registration
3.1 Account Creation
To access certain features of the Services, you may be required to create a user account. You agree to provide accurate, current, and complete information at the time of registration and to keep such information updated at all times.
3.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You must immediately notify the Company of any suspected unauthorised access, breach of security, or misuse of your account at support@perealtors.com.
3.3 Account Suspension and Termination
The Company reserves the right to suspend or permanently terminate your account at its sole discretion, with or without prior notice, in cases where:
You have breached any provision of these Terms
Your conduct is harmful to other users, third parties, or the Company
We are required to do so by applicable law or a competent regulatory or judicial authority
Upon termination, all licences granted to you under these Terms will cease immediately. Provisions that by their nature survive termination - including Sections 5, 8, 9, 10, and 11 - shall continue in full force and effect.
4. Terms Governing Paid Services
The Company offers a range of professional real estate services, some of which are subject to service charges and brokerage fees. By engaging any paid Service, you (the "Customer") agree to the following terms governing payment, billing, and dispute resolution.
4.1 Fee Structure and Currency
All service fees and brokerage charges are denominated and payable in Indian Rupees (INR), unless a different currency is explicitly agreed upon in writing at the commencement of the engagement. Applicable fees are stated in the service agreement, engagement letter, or invoice issued to you prior to commencement.
All quoted fees are exclusive of applicable statutory taxes, levies, and government charges (including GST) unless explicitly stated otherwise.
Service charges are non-refundable once work has been initiated, unless a separate written refund agreement has been executed.
Any deviation from the standard fee schedule must be agreed upon in writing and duly authorised by a representative of the Company.
4.2 Subscription and Retainer Billing
For services offered on a subscription or retainer basis (including, but not limited to, property management retainers, listing packages, or platform access plans):
Subscription fees are billed in advance on a monthly or annual basis, as selected at the time of enrolment.
Billing cycles commence on the date of service activation or as specified in the engagement agreement.
The Company reserves the right to revise subscription plans or pricing with a minimum of 30 days prior written notice.
4.3 Authorisation to Charge
By engaging any paid Service, you expressly authorise the Company to:
Raise invoices and charge applicable fees to your designated payment method (bank transfer, UPI, cheque, or other agreed mode).
Apply brokerage or facilitation charges upon successful completion of the agreed milestone or transaction closure.
Adjust any advance payment received against the final billed amount as per the agreed engagement terms.
4.4 Consequences of Non-Payment
Timely payment is a material obligation of the Customer. In the event of non-payment or delayed payment:
The Company may immediately suspend or discontinue all active services until outstanding dues are cleared in full.
Continued non-payment may result in permanent termination of the engagement. The Company shall not be liable for any loss arising from such suspension or termination.
The Company may initiate appropriate legal or recovery proceedings to recover outstanding dues, including interest at 18% per annum (or as prescribed by applicable law) from the date the payment fell due.
All reasonable costs of recovery - including legal fees, collection charges, and court costs - shall be borne by the defaulting Customer.
4.5 Price Revisions
The Company reserves the right to revise its service charges and brokerage rates from time to time. In such cases:
Customers with active engagements will receive a minimum of 30 days prior written notice via email or registered post before the revised charges take effect.
Price revisions shall not apply retroactively to transactions or engagements already confirmed in writing prior to the notice date.
Continued use of the Services after the effective date of a revision constitutes acceptance of the revised pricing.
4.6 Billing Disputes
The Company is committed to transparent and accurate billing. If you believe an error has occurred in a charge raised to you:
You must notify the Company in writing within 30 calendar days of the date of the disputed invoice or charge. Disputes raised after this window may not be eligible for review, and the charge shall be deemed accepted.
Your dispute notice must clearly identify the charge in question, the grounds for the dispute, and include any relevant supporting documentation.
The Company will acknowledge receipt of a valid dispute notice within 5 working days and will endeavour to resolve it within 15 working days of such acknowledgment.
During the dispute resolution period, undisputed portions of the invoice remain due and payable on their original due date.
5. Property Sourcing Service
The Property Sourcing Service is designed to assist Customers in identifying, evaluating, and securing the right property based on their specific requirements. It is a comprehensive, end-to-end facilitation service that leverages the Company's market expertise, professional network, and AI-driven tools.
5.1 Scope of the Property Sourcing Service
The following activities are carried out by the Company on behalf of the Customer:
Requirement Assessment: In-depth understanding of the Customer's requirements, including property type, location, budget, size, and intended use.
Market Research and Option Generation: Identification and presentation of multiple shortlisted properties from both primary (developer) and secondary (resale) markets.
Data Points and Due Diligence Support: Provision of pricing benchmarks, locality insights, comparable analysis, and preliminary background checks.
Property Visits and Site Facilitation: Coordination of site inspections and walkthroughs at mutually agreed schedules.
Negotiation Support: Active representation of the Customer's interests in price and terms negotiations with the seller or their representatives.
Documentation Facilitation: Guidance through offer letters, booking forms, agreements, and other transaction documents.
Transaction Closure: End-to-end support from token payment through final agreement execution.
5.2 Exclusions from Scope
Unless separately engaged in writing, the following are expressly excluded from the Property Sourcing Service:
Stamp duty, registration charges, sale deed legal fees, and other statutory charges payable at ownership transfer.
Drafting, registration, or legal costs for tenancy contracts, lease deeds, or rental agreements.
Government fees, municipal charges, society transfer fees, NOC charges, or other statutory obligations.
Post-closure services such as property management, renovation coordination, or any services beyond transaction closure.
5.3 Brokerage and Service Charges
The service charges or brokerage applicable to the Property Sourcing Service shall be as communicated at the time of engagement or as specified in the service agreement. The Customer acknowledges and agrees that:
Brokerage is earned upon successful sourcing and facilitation leading to a confirmed transaction, evidenced by token payment, booking form, or agreement of sale.
The brokerage fee is payable irrespective of post-closure developments, subject only to the exceptions in Section 5.4.
Brokerage is not contingent on the Customer's subjective satisfaction with the property beyond the agreed scope of facilitation.
5.4 Exceptions - Waiver of Brokerage Charges
Brokerage charges will be waived only in the following specific and limited circumstances:
Exception 1: Customer-Initiated Cancellation Within 48 Hours
If the Customer withdraws from the transaction within 48 hours of confirming a property by paying the token amount, the Company shall waive its brokerage charge. This exception applies strictly to customer-initiated cancellations within the 48-hour window and is subject to the Customer providing written intimation to the Company within that period.
Exception 2: Cancellation Due to Legal Non-Compliance Beyond the Customer's Control
If the transaction is cancelled because the property is found to have undisclosed legal encumbrances, title defects, or uncleared regulatory approvals that are beyond the Customer's reasonable control or knowledge, the Company may, at its sole discretion, waive the brokerage charge. Such waiver is not automatic and will be evaluated on a case-by-case basis upon receipt of documented evidence from the Customer.
6. Customer Sourcing Service
The Customer Sourcing Service is designed to assist property owners, developers, and sellers in identifying qualified buyers, tenants, or lessees. The service leverages the Company's buyer network, digital platforms, and targeted outreach strategies.
6.1 Scope of the Customer Sourcing Service
The following activities are carried out on behalf of the property owner or seller:
Requirement Profiling: Understanding the seller's preferences, target buyer or tenant profile, pricing expectations, and transaction timelines.
Targeted Buyer or Tenant Identification: Outreach to prospective buyers or tenants from the Company's active database, digital channels, and partner networks.
Market Positioning: Provision of comparable data, demand insights, and pricing guidance to competitively position the property.
Property Visit Facilitation: Scheduling and managing viewings with prospective buyers or tenants.
Enquiry Management: Conducting initial discussions and follow-ups with prospects to gauge interest and qualify intent.
Negotiation Support: Facilitating price and terms discussions between the owner and the prospective buyer or tenant.
Documentation Facilitation: Guidance through offer letters, term sheets, agreements, and related documents.
Transaction Closure: End-to-end coordination to ensure a smooth and confirmed transaction.
6.2 Brokerage and Service Charges
The brokerage or service charge applicable to the Customer Sourcing Service shall be as communicated at the time of engagement or as specified in the service agreement. The following conditions apply:
Brokerage is earned upon a confirmed transaction, evidenced by token payment, a signed term sheet, or execution of an agreement between the owner and the buyer or tenant.
The charge is payable by the property owner and is not contingent on post-closure developments, subject to the exceptions in Section 6.3.
Where brokerage is to be shared between buyer and seller, such an arrangement must be explicitly agreed to in writing before the commencement of the service.
6.3 Exceptions - Waiver of Brokerage Charges
Exception 1: Buyer or Tenant Cancellation Within 48 Hours of Token
If a buyer or tenant sourced by the Company withdraws from the transaction within 48 hours of having paid the token amount, without any cause attributable to the property owner, the Company may waive the brokerage for that specific transaction. Written intimation of the cancellation must be received by the Company within the 48-hour window.
Exception 2: Cancellation Due to Legal Non-Compliance Attributable to the Property
If the transaction does not proceed due to legal encumbrances, title defects, or regulatory non-clearances attributable to the property itself - which are beyond the reasonable control or knowledge of the property owner - the Company may, at its sole discretion and upon review of documented evidence, waive the applicable brokerage charge.
7. Documentation and Legal Services
The Company offers Documentation and Legal Support Services as part of its comprehensive real estate facilitation, provided in collaboration with qualified legal professionals. These services are designed to simplify the complex documentation requirements of property transactions.
7.1 Mandatory Scope Definition
The scope of work for all Documentation and Legal Services must be clearly and explicitly defined in writing before any engagement commences. This includes:
A written scope of work document or engagement letter specifying exact services to be rendered (e.g., sale deed drafting, title search, due diligence report, tenancy agreement preparation, encumbrance check).
A clear timeline for delivery of each agreed deliverable.
Agreed service charges, including professional fees, exclusive of statutory costs such as stamp duty, registration fees, or court fees (unless separately agreed in writing).
7.2 Limitation of Liability for External Delays
Real estate documentation frequently involves interactions with government registries, housing boards, revenue departments, banks, and courts. The Company acknowledges that delays or changes may arise due to:
Technical reasons: System downtime at government portals, updates to e-stamping or e-registration systems, biometric verification failures, or digital certification issues.
Non-technical reasons: Changes in law or government policy, delays by counterparties or third parties, document deficiencies originating from third-party sources, or court orders or injunctions.
The Company shall not be held liable for delays, errors, or incomplete outcomes attributable to such external factors, provided it has diligently executed the agreed scope of work. Any additional work necessitated by such changes will require a revised scope and a revised fee agreement.
7.3 Advance Payment and Fee Structure
All Documentation and Legal Services will be initiated only upon receipt of an advance payment equal to 50% of the agreed service charges. This requirement applies to all engagements without exception. The balance is due upon:
Completion of the agreed deliverable(s), or
Achievement of an intermediate milestone as specified in the engagement letter, or
As mutually agreed in writing prior to commencement.
Advance payments are non-refundable once the professional team has commenced work, unless the Company is unable to deliver due to circumstances entirely within its own control.
7.4 Professional Assessment and Diagnosis
Where the nature, extent, or complexity of a documentation or legal issue is not clearly known at the outset, the Company may deploy a professional assessment team to review relevant documents, identify legal or compliance issues, and provide a structured assessment report with recommended solutions and a proposed scope of work.
This assessment is charged separately as a Professional Assessment Fee, which will be communicated and agreed before commencement. The assessment fee is payable irrespective of whether the Customer subsequently proceeds with resolution services.
8. Intellectual Property
8.1 Company Ownership
All content, features, functionality, software, text, graphics, logos, icons, images, data, and other materials available through the Services are the exclusive property of the Company or its licensors and are protected by applicable intellectual property laws, including the Copyright Act, 1957, and the Trade Marks Act, 1999.
8.2 Limited Licence
Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for your personal or internal business purposes.
8.3 Restrictions
You shall not, without the prior written consent of the Company:
Copy, reproduce, modify, or create derivative works of any part of the Services or its content.
Reverse engineer, decompile, or disassemble any software component of the Services.
Sell, resell, rent, sublicence, or commercially exploit access to the Services.
Remove or alter any proprietary notices, labels, watermarks, or marks appearing on or in the Services.
Use the Services or any content therein to build a competing product or service.
9. User Conduct and Prohibited Activities
You agree not to use the Services, directly or indirectly, to:
Violate any applicable local, state, national, or international laws or regulations, including those of India.
Post, transmit, or distribute false, misleading, or fraudulent property listings or information.
Impersonate any person or entity, or misrepresent your affiliation with any person or organisation.
Transmit unsolicited or unauthorised advertising, spam, or promotional materials.
Introduce viruses, malware, ransomware, or any other harmful or disruptive code into the Services.
Attempt to gain unauthorised access to any part of the Services, servers, or related systems.
Engage in data mining, scraping, or automated collection of data from the platform without written consent.
Harass, abuse, defame, or harm another user or any third party through the Services.
Use the Services for any unlawful purpose, including money laundering, fraudulent transactions, or circumvention of regulatory requirements.
10. Privacy Policy
Your use of the Services is also governed by our Privacy Policy, available at www.perealtors.com/privacy-policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, processing, storage, and sharing of your personal data as described in the Privacy Policy.
The Company is committed to protecting your personal data in accordance with applicable Indian data protection law, including the Information Technology Act, 2000, the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, and the Digital Personal Data Protection Act, 2023 (DPDPA).
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
The Company does not warrant that: (a) the Services will be uninterrupted, timely, secure, or error-free; (b) any information or content obtained through the Services will be accurate or reliable; or (c) any defects in the Services will be corrected. Use of the Services is entirely at your own risk.
Property information, valuations, and market data provided through the Services are indicative only and do not constitute professional legal, financial, or valuation advice. You are encouraged to conduct independent due diligence before making any property-related decision.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING FROM OR IN CONNECTION WITH:
Your access to, use of, or inability to access or use the Services;
Any conduct, content, or property listings of any third party on the Services;
Unauthorised access, use, or alteration of your account, data, or transmissions;
Any bugs, viruses, or harmful code transmitted through the Services;
Any inaccuracy, error, or omission in property information or market data made available through the platform.
In no event shall the Company's aggregate liability to you for all claims arising out of or related to these Terms or the Services exceed the total amount of fees actually paid by you to the Company in the twelve (12) calendar months immediately preceding the event giving rise to the claim. This limitation applies regardless of the form or theory of the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, licensors, and successors from and against any and all claims, liabilities, damages, losses, penalties, and expenses (including reasonable legal fees and costs) arising out of or in connection with:
Your access to or use of the Services;
Your breach of any provision of these Terms;
Your violation of any applicable law or regulation;
Your infringement of any intellectual property, privacy, or other rights of any third party;
Any property listing, content, or information you submit through the Services that is false, misleading, or unlawful.
14. Governing Law and Dispute Resolution
These Terms shall be governed by, and construed in accordance with, the laws of India. The courts of Bengaluru, Karnataka shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to the arbitration clause below.
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Services, the parties shall first attempt to resolve the matter amicably through good-faith negotiation within 30 days of the disputing party providing written notice.
If the dispute is not resolved through negotiation, it shall be referred to and finally resolved by arbitration conducted in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The seat of arbitration shall be Bengaluru, Karnataka. The proceedings shall be conducted in English, and the arbitral award shall be final and binding on both parties.
15. Modifications to These Terms
The Company reserves the right to update or amend these Terms at any time. We will notify you of material changes by:
Posting the revised Terms on www.perealtors.com with an updated "Effective Date"; and
Sending a notification to the registered email address associated with your account.
Your continued use of the Services after such notification constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically. If you do not agree to any revised Terms, you must discontinue use of the Services before the effective date of the revision.
16. Termination
Either party may terminate these Terms at any time. You may terminate by ceasing use of the Services and closing your account. The Company may terminate or suspend your access, with or without prior notice, for breach of these Terms, non-payment of dues, or at its discretion for any other lawful reason.
Upon termination, all licences granted to you will immediately cease. Clauses that by their nature are intended to survive termination - including Sections 8, 11, 12, 13, and 14 - shall remain in full force and effect notwithstanding termination.
17. General Provisions
17.1 Entire Agreement
These Terms, together with the Privacy Policy and any applicable service agreement or engagement letter, constitute the entire agreement between you and the Company with respect to the Services and supersede all prior understandings, agreements, or representations.
17.2 Severability
If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
17.3 Waiver
No failure or delay by the Company in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy. A waiver must be in writing and signed by an authorised representative of the Company to be effective.
17.4 Assignment
You may not assign or transfer any rights or obligations under these Terms without the prior written consent of the Company. The Company may freely assign these Terms or any of its rights and obligations hereunder.
17.5 Force Majeure
The Company shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, acts of government, war, pandemic, cyberattacks, power failures, or failure of telecommunications or internet service providers.
